These Brand Agent Terms (“Agent Terms”) are part of Veliu’s Master Subscription Agreement published at veliu.com/terms (the “Agreement”) and apply to the Brand Agent, to the experiences it composes and to the gateway endpoints described in Section 4.3 of the Agreement. Capitalised terms have the meaning given in the Agreement. Section 18.11 of the Agreement sets the order of precedence.

What the Brand Agent is

1.1 The Brand Agent. The Brand Agent answers the visitors of Customer’s website, and of the channels stated in the Order, in conversation and with pages it composes, using Customer’s catalog, policies and the knowledge Customer connects (together, the “Sources”). Through the gateway endpoints it also answers AI shopping agents and answer engines.

1.2 Outputs. Answers, composed pages, summaries, recommendations and any other content the Brand Agent generates (“Outputs”) are produced by artificial-intelligence models from the Sources and the conversation. Outputs are Service Content under Section 2.2 of the Agreement; the Sources remain Customer Data.

1.3 Models. Section 4.6 of the Agreement applies: Veliu does not train models for others on Customer Data, and the third-party model providers listed in Annex 3 of the DPA work under enterprise terms that do not allow them to train on it.

Transparency to visitors

2.1 An AI that says so. The Brand Agent presents itself as the AI of Customer’s brand. The Brand Agent states that indication in conversation, and the Services show it where the Brand Agent appears as the Documentation describes; Customer keeps it visible and does not present the Brand Agent, or its Outputs, as the work of a person.

2.2 Notices to visitors. Customer gives its visitors the information that applicable law requires about the use of an AI system, including under Regulation (EU) 2024/1689 where it applies, about the processing of their personal data (Section 5 of the Agreement and the DPA) and about the recording of conversations. On request, Veliu provides a notice text that Customer may use.

2.3 Conversations. Conversations between visitors and the Brand Agent are processed to answer, to let Customer read them in the back office and to measure the Services under Section 4.4 of the Agreement. Customer informs its visitors, through the notice in Section 2.2, that conversations are recorded and kept, and obtains their consent where the law requires it.

Accuracy and responsibility for Outputs

3.1 Generated content. Outputs are generated automatically and may be inaccurate, incomplete or out of date, including because the Sources are. Section 9.2 of the Agreement applies to Outputs. Customer reviews the Sources and the configuration of the Brand Agent, and corrects them as the back office allows.

3.2 Sources. Customer is responsible for its Sources: their accuracy, their lawfulness and their currency, including prices, availability, policies and claims about products. Where the Brand Agent states a price, an availability or a policy, it states what the Sources contained at their latest update; Customer’s own order process and terms govern each sale.

3.3 Actions for visitors. Where the Order or Customer’s configuration lets the Brand Agent take actions for visitors, for example opening Customer’s checkout with the products the visitor chose, or another action that the Order states, those actions are Customer’s, taken through Customer’s systems and under Customer’s terms with the visitor. Veliu is a provider of the Services and takes no part in the contract of sale or the payment between Customer and its visitors.

3.4 Uses excluded. Customer does not configure or use the Brand Agent (a) for a high-risk use within the meaning of Regulation (EU) 2024/1689, or to give medical, legal, financial or other regulated advice presented as professional advice; (b) to infer special categories of personal data about visitors, or to profile minors; (c) to generate content that infringes third-party rights, misleads visitors or is unlawful, or that breaches the Acceptable Use Policy; (d) to impersonate a person or another brand. Section 2.6(c) and Section 6 of the Agreement apply to such a use.

3.5 Safety. Veliu may apply safety filters and may decline or end a conversation that falls within a use excluded by Section 3.4 of these Agent Terms or by the Acceptable Use Policy. A conversation declined or ended under this Section is outside the unavailability that Section 3.1 of the Agreement measures and outside the Critical Failures that Section 3.4 of the Agreement lists.

Gateway, API and MCP

4.1 Gateway endpoints. The gateway endpoints answer third-party AI agents and answer engines from Veliu’s systems, with the Sources and under Customer’s configuration. Customer decides in the back office which Sources they publish.

4.2 Passive connector. Where Customer, or an AI agent or application that Customer authorises, reads or acts through Veliu’s API or MCP endpoint under Section 4.8 of the Agreement, Veliu acts as a passive connector: every request is Customer’s own action, and the data returned is transmitted at Customer’s direction. Customer keeps its API keys confidential and is responsible for the use made with them.

4.3 Third-party engines. Veliu does not control how third-party AI platforms, answer engines or shopping agents use what the gateway endpoints publish; Section 7 of the Agreement applies, and Section 9.2 of the Agreement excludes any promise of ranking or recommendation.

Changes

Veliu may update these Agent Terms as the Services and the law evolve, with at least thirty (30) days’ notice by email or in the back office. A change that materially reduces Customer’s rights follows Section 18.6 of the Agreement: Veliu notifies it at least ninety (90) days before the end of the term in progress, it takes effect at the renewal, and Customer may give notice of non-renewal until sixty (60) days before the end of that term, unless the law requires the change sooner.
